Offshore Listed Vehicles: AllianceBernstein Australia Limited (ABN 53 095 022 718, AFSL 230 698) (“ABAL”) offers to arrange for the issue of shares in the Offshore Listed Vehicles in Australia.

AB Active ETFs, Inc., a Maryland open‑end diversified management investment company, is the issuer of shares in the Offshore Listed Vehicles. ABAL and AB Active ETFs, Inc. are part of the same corporate group. 

The Offshore Listed Vehicles do not carry on business in Australia, and they do not carry on a financial services business in Australia. To the extent the Offshore Listed Vehicles are deemed to carry on a financial services business in Australia under the Corporations Act 2001 (“Corporations Act”), the Offshore Listed Vehicles are exempt from the requirement to hold an Australian financial services licence. 

The Offshore Listed Vehicles are available to wholesale clients only as defined in section 761G of the Corporations Act.
