Proxy Voting and Governance Policy

 

We are investment advisers and shareholder advocates with a fiduciary duty to make investment decisions that are in our clients’ best interests by maximising the value of their shares. Proxy voting is an integral part of this process, through which we support strong corporate governance structures, shareholder rights and transparency.

This Proxy Voting and Governance Policy (“Proxy Voting and Governance Policy” or “Policy”), which outlines our policies for proxy voting and includes a wide range of issues that often appear on proxies, applies to all of AB’s investment-management subsidiaries and investment services groups investing on behalf of clients globally. It is intended for use by those involved in the proxy voting decision-making process and those responsible for the administration of proxy voting (“Proxy Managers”), in order to ensure that our proxy voting policies and procedures are implemented consistently.

 

Summary of Proxy Votes

 

AllianceBernstein Investment Management Australia Limited (ABN 58 007 212 606, AFSL 230 683) (“ABIMAL”) is the responsible entity and issuer of units in the following Funds: the AB Managed Volatility Equities Fund (Managed Fund)—MVE Class APIR ACM0006AU (a unit class of the AB Managed Volatility Equities Fund (Managed Fund) (ARSN 099 739 447)), the AllianceBernstein Global Equities Fund (ARSN 099 296 607) and the AB Sustainable Global Thematic Equities Fund (ARSN 659 443 320). ABIMAL has appointed AllianceBernstein Australia Limited (ABN 53 095 022 718, AFSL 230 698) (“ABAL”) as the investment manager of the Funds. Product Disclosure Statement (“PDS”) are available for each Fund by contacting the client services team at AllianceBernstein Australia Limited at (02) 9255 1299 or at www.AllianceBernstein.com.au. Investors should consider the PDS in deciding to acquire, or continue to hold, units in the relevant Fund.
